Terms and Conditions of Sale
The following terms and conditions of the sale are to be made a part of all quotations, contracts and/or sales made by the Seller.
Terms of Payment
Terms of payment are specified on the invoice or quotation. If terms of payment are not specifically stated to be otherwise, they are to be Net Cash against shipping documents.
Prices
Prices do not include any out of state taxes which may apply to the sale. Any such taxes are the Buyer's responsibility.
All prices are F.O.B., point of origin.
Stenographic and clerical errors are subject to correction by Seller.

Delivery
Promises of delivery are based upon best expectations of the Seller's ability to fulfil the contract or order, but the Seller cannot be held responsible for damages or losses on account of the delays in delivery due to any cause.
Warranty
The Seller does not itself warrant the merchantability of the specified equipment.
Purchaser's remedies shall be limited tot he warranties of the manufacturer.

Corrosion Exclusion
The Seller specifically does not warrant resistance to corrosion of stainless steels or other metal normally used in the fabrication of its equipment.
The Seller is not liable for loss or damage due to corrosion from exposure to aggressive liquids or atmospheres.
The Seller is not liable for Buyer's failure to clean or care for his equipment.

Limits of Liability
The Seller is not liable or responsible for any loss, damage, injury to person or property, or any direct or consequential damage arising from the sale, installation, or use of this equipment.
The Seller shall not be held liable for any losses or damages to the Buyer resulting from the improper operation, care or cleaning of this equipment.
The Seller shall not be held liable for any losses or damages resulting from bacteriological spoilage to the product.

Explosion Atmosphere and Pressure Relief

Explosions and other excess pressure conditions within equipment are not predictable as to timing, intensity total energy capacity, location, rate of rise, and the like.
In addition, they are frequently a function of the process or operation totally dependent upon the user.
We affirm our best knowledge as being applied to any normal or any special requirement for safety venting protection of equipment to be supplied.
Our designs and/or devices are totally subject to the approval and acceptance of the Purchaser.
Therefore, we make NO GUARANTEE OR WARRANTY, EXPRESS OR IMPLIED, as to the degree of protection such designs and devices will provide.
In addition, they are frequently a function of the process or operation totally dependent upon the user.

Title
In the event the Buyer fails to pay as agreed in the purchase contract, the Seller shall have the right to immediate possession of the property and to enter upon the premises where the property may be located and remove same.
Cancellation
When this quotation results in an order, it can be cancelled by the Buyer upon payment of liquidated damages of 20% of the total price of the order contract, plus actual cost of labor, material, overhead and subsequent or supplier costs.
Exclusions and Options
Installation, erection, or start-up assistance is not included unless specifically stated to be otherwise in the quotation.
Supervisory assistance is available for installation, erection, or start-up standard rates, plus all travel and living expenses.
Electrical fittings, wiring and electrical protection is not included unless specifically stated to be otherwise in the quotation. These are available at extra cost.
Special codes or requirements of construction such as ASME codes or union labels are not included unless specifically stated to be otherwise in the quotation but are available at extra cost.
Foundation and supporting structures are not supplied by the Seller unless specifically stated in quotation.

Returns
Stock merchandise, with certain exceptions, may be returned at any time within 60 days of purchase. It must be returned prepaid and received in saleable condition, as determined by Pro Sales, in its sole discretion. Exceptions include items mark non-returnable non-cancellable; and temperature-sensitive, hazardous, or dated materials; which are considered on a case-by-case basis. Other returns may be refused or subjected to a restocking charge, at Pro Sales's sole discretion.
To return any merchandise, call us or email salereturns@prosalesinc.com for shipping instructions and a Return Material Authorization (RMA) number. Please provide company name and location, purchase order that was used, and the reason for requesting the return. The RMA number will be your authorization to return the merchandise. Credit may be issued following receipt and inspection of returned merchandise.
Product defects, as determined by Pro Sales in its sole discretion, and our shipping errors will be promptly corrected in accordance with the terms of this Agreement. These terms and conditions of sale cannot be supplemented or altered by any language contained in any purchase order or other Buyer's document unless accepted in writing by an officer of the Seller's company.
